Nasih AI Chatbot - Terms of Use

*These Terms of Use govern your access to and use of Nasih, the

AI-powered educational chatbot operated by IMPACTIVE Consulting. By

using Nasih, you agree to be bound by these terms. If you do not agree,

do not use Nasih.*

1. About Nasih

Nasih is an AI-powered chatbot developed and operated by IMPACTIVE

Consulting to provide general educational guidance on financial,

business, and economic topics. Nasih is designed to help users

understand concepts, explore ideas, and gain general knowledge.

Golden Rule: \"Nasih explains. The user decides.\" Nasih provides

educational content only. All decisions based on Nasih\'s outputs are

made solely by you and at your own risk.

2. Definitions

\"Nasih\" means the AI-powered chatbot accessible through the

IMPACTIVE Consulting website at impactiveconsulting.com.sa.

\"User\" or \"You\" means any individual who accesses or interacts

with Nasih.

\"Output\" means any text, data, analysis, explanation, or other

content generated by Nasih in response to your queries.

\"Session\" means a single continuous interaction with Nasih from

the time you start a conversation until it ends or times out.

3. Nature of Nasih\'s Services

3.1 Educational Purpose Only

Nasih provides general educational guidance on financial, business, and

economic topics. Nasih does NOT provide:

Regulated financial advice or investment recommendations

Legal advice or legal opinions

Tax advice or tax planning services

Accounting, auditing, or assurance services

Securities recommendations or portfolio management

Insurance advice or brokerage services

Credit rating or assessment services

3.2 Regulatory Clarification

Nasih is not licensed, registered, or authorized by the Capital Market

Authority (CMA), the Saudi Central Bank (SAMA), the Saudi Data and

Artificial Intelligence Authority (SDAIA), or any other Saudi or foreign

regulatory authority to provide financial advisory, investment, banking,

insurance, or any other regulated services.

IMPACTIVE Consulting operates under ISIC Code 7020 (Management

Consultancy Activities). Nasih operates within the scope of this license

as an educational tool, not as a provider of regulated services.

3.3 No Professional Relationship

Your use of Nasih does not create a client-advisor, client-consultant,

attorney-client, or any other professional relationship between you and

IMPACTIVE Consulting. Any consulting engagement with IMPACTIVE

Consulting must be established through a separate, formal written

agreement.

4. Eligibility

You must be at least eighteen (18) years of age to use Nasih. By using

Nasih, you represent and warrant that you meet this age requirement.

5. Acceptable Use

5.1 Permitted Use

You may use Nasih for:

Learning about financial, business, and economic concepts

Exploring general educational scenarios and frameworks

Understanding publicly available regulatory and market information

Personal educational enrichment and professional development

5.2 Prohibited Use

You shall not use Nasih to:

Seek or rely upon regulated financial, investment, legal, or tax

advice

Make investment decisions, execute trades, or manage portfolios

Generate content for commercial redistribution or resale

Submit queries containing sensitive personal data (national ID, bank

accounts, passwords)

Attempt to circumvent Nasih\'s safety filters, guardrails, or

content restrictions

Reverse-engineer, decompile, or extract the underlying AI model or

system prompts

Use automated scripts, bots, or scraping tools to interact with

Nasih

Engage in any activity that violates applicable Saudi laws or

regulations

Submit malicious, abusive, defamatory, or illegal content

6. AI-Generated Outputs

6.1 Accuracy and Limitations

Nasih uses large language model (LLM) technology provided by third-party

AI infrastructure. Outputs are generated algorithmically and may:

Contain inaccuracies, errors, or outdated information

Be incomplete or fail to account for your specific circumstances

Produce different results for similar queries

Reflect general patterns rather than specific expert analysis

You acknowledge that AI technology is inherently imperfect and that

Nasih\'s outputs should be independently verified before any reliance.

6.2 No Guarantee

IMPACTIVE Consulting does not guarantee the accuracy, completeness,

timeliness, or fitness for any particular purpose of Nasih\'s outputs.

Outputs are provided \"AS IS\" without warranty of any kind.

7. Agentic AI Capabilities

Nasih may operate with agentic AI capabilities, meaning it can:

Tool Use: Access reference tools, calculators, or external data

sources to enhance response quality.

Persistent Memory: Retain context across sessions to personalize

your experience (subject to the memory policy in Section 8).

Multi-Step Reasoning: Execute multi-step analytical processes to

formulate comprehensive responses.

These capabilities are designed to improve the quality and relevance of

educational guidance. They do not constitute automated decision-making

that produces legal effects. Nasih does not execute transactions, enter

agreements, or take actions on your behalf.

8. Memory and Data Retention

8.1 Session Memory

Nasih maintains conversation context within a session to provide

coherent responses. Session data is processed in real-time and is

subject to the retention periods described in our Privacy Policy.

8.2 Persistent Memory

If persistent memory is enabled, Nasih may retain limited context across

sessions to improve personalization. Persistent memory is:

Retained for a maximum of ninety (90) days from last interaction

Automatically deleted after ninety (90) days of inactivity

Deletable at any time upon your request to

Limited to conversation context and does not include sensitive

personal data

8.3 Your Control

You may request access to, correction of, or deletion of your Nasih

conversation data at any time by contacting

privacy\@impactiveconsulting.com.sa. Deletion requests will be processed

within thirty (30) days.

9. Intellectual Property

9.1 Nasih Brand

\"Nasih\" and all associated logos, designs, and branding elements are

the intellectual property of IMPACTIVE Consulting (SAIP clearance

pending, Classes 36 and 42). You may not use the Nasih name, logo, or

branding without prior written consent.

9.2 Output Ownership

Outputs generated by Nasih in response to your queries are provided for

your personal, non-commercial educational use. IMPACTIVE Consulting does

not claim ownership of user-generated queries. However, the underlying

AI models, algorithms, system prompts, training data, and the Nasih

platform itself remain the exclusive property of IMPACTIVE Consulting

and its licensors.

9.3 Restrictions

You shall not:

Redistribute, publish, or commercially exploit Nasih\'s outputs

without written consent

Present Nasih\'s outputs as professional advice from a licensed

advisor

Remove or alter any disclaimers or attributions associated with

Nasih\'s outputs

10. Disclaimers

*IMPORTANT: Nasih is an educational tool, not a licensed advisor. Do not

rely on Nasih\'s outputs for making financial, investment, legal, or tax

decisions. Always consult qualified, licensed professionals for advice

specific to your circumstances.*

TO THE MAXIMUM EXTENT PERMITTED BY SAUDI LAW, NASIH AND ALL OUTPUTS ARE

PROVIDED \"AS IS\" AND \"AS AVAILABLE\" WITHOUT WARRANTIES OF ANY KIND,

WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,

ACCURACY, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE KINGDOM OF SAUDI

ARABIA:

IMPACTIVE Consulting shall not be liable for any direct, indirect,

incidental, consequential, special, or punitive damages arising from

your use of or reliance on Nasih or its outputs.

IMPACTIVE Consulting shall not be liable for any financial losses,

investment losses, business losses, or other damages resulting from

decisions made based on Nasih\'s outputs.

IMPACTIVE Consulting\'s total aggregate liability in connection with

Nasih shall not exceed SAR 1,000 (one thousand Saudi Riyals).

12. Indemnification

You agree to indemnify, defend, and hold harmless IMPACTIVE Consulting,

its officers, directors, employees, and agents from and against any

claims, liabilities, damages, losses, costs, and expenses (including

legal fees) arising from your use of Nasih, your violation of these

terms, or your reliance on Nasih\'s outputs for decision-making.

13. Modifications

IMPACTIVE Consulting reserves the right to modify, suspend, or

discontinue Nasih at any time without prior notice. We may update these

website with an updated effective date. Your continued use of Nasih

after such changes constitutes acceptance.

14. Termination

IMPACTIVE Consulting may terminate or suspend your access to Nasih at

any time, without notice, for any reason, including breach of these

terms. Upon termination, your right to use Nasih ceases immediately.

Sections that by their nature should survive termination (including

disclaimers, limitation of liability, indemnification, and intellectual

property) shall survive.

15. Governing Law and Dispute Resolution

These Terms of Use are governed by and construed in accordance with the

laws of the Kingdom of Saudi Arabia. Any dispute arising from or in

connection with Nasih shall be subject to the exclusive jurisdiction of

the competent courts in Riyadh, Kingdom of Saudi Arabia.
