"Website" means impactiveconsulting.com.sa, including all subdomains, pages, and services accessible through the domain.

"User", "You", "Your" refers to any individual or entity accessing or using the Website.

"Services" refers to the consulting services described on the Website, including Dynamic Financial Modeling, Market Research and Feasibility, Pricing Strategy, Financial Planning and Budgeting, Costing and Cost Optimization, and Analytics and Dashboards.

"Nasih" refers to the AI-powered financial guidance chatbot operated on the Website, subject to its own dedicated Terms of Use.

"Content" refers to all text, graphics, images, data, software, audio, video, and other material published on or through the Website.

"Client Assistant" refers to the live chat or automated messaging feature available on the Website for client communication and enquiries.

2. Acceptance of Terms

By accessing, browsing, or using the Website in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations of the Kingdom of Saudi Arabia.

6. Consulting Services

6.1 Information Only

Service descriptions represent the Company’s general capabilities and may not reflect the specific scope, terms, or pricing of any particular engagement.

6.2 Engagement Terms

The provision of consulting services is subject to a separate written agreement between the Company and the client (a Master Services Agreement, Statement of Work, or equivalent engagement letter). No consulting relationship or contractual obligation arises from browsing the Website or submitting an enquiry.

6.3 No Professional Advice

Nothing on the Website constitutes professional financial, investment, legal, accounting, or tax advice. The Website content is general in nature and should not be relied upon as a substitute for professional advice tailored to your specific circumstances. Always consult a qualified, licensed professional before making any financial, legal, or business decision.

7. Nasih AI Chatbot

The Nasih AI-powered financial guidance chatbot available on the Website is subject to its own dedicated Terms of Use, Privacy Notice, and AI Disclaimer, which are incorporated herein by reference. In the event of any conflict between these Website Terms and the Nasih Terms of Use, the Nasih Terms of Use shall prevail with respect to the Nasih service.

Without limiting the foregoing, you acknowledge that:

Nasih provides general financial education and guidance only, not personalised financial, investment, legal, or tax advice
Nasih is not a licensed financial advisor, investment manager, or robo-advisor under the Capital Market Authority (CMA), the Saudi Central Bank (SAMA), or any other regulatory body
Use of Nasih does not create a professional-client relationship
The Company bears no liability for any financial outcome arising from use of or reliance on Nasih

8. Client Assistant and Contact Forms

The Website provides a Client Assistant chat feature and contact forms for enquiries and consultation booking. By using these features, you consent to the collection and processing of any information you provide for the purpose of responding to your enquiry and facilitating potential engagement.

The Client Assistant may use automated or AI-assisted technology to facilitate initial communication. Communications through the Client Assistant are not confidential and do not establish a professional-client relationship until a formal engagement agreement is executed.

Information submitted through contact forms and the Client Assistant is processed in accordance with our Privacy Policy.

9. Careers and CV Submissions

The Careers section of the Website allows prospective applicants to submit CVs and expressions of interest. By submitting your CV or any personal information through the Careers page, you:

Consent to the processing of your personal data for recruitment purposes
Acknowledge that submission does not guarantee employment or further consideration
Represent that all information provided is accurate and complete
Acknowledge that your data will be processed in accordance with the Candidate Privacy Notice and our Privacy Policy

We retain candidate data for a period of twelve (12) months from the date of submission, unless you request earlier deletion. After this period, your data will be permanently deleted unless you consent to extended retention.

10.1 Ownership

10.3 IMPACTIVE Brand

The IMPACTIVE name, logo, tagline (“Precision That Powers Growth”), and all associated brand elements are trademarks of IMPACTIVE Consulting. You may not use these marks without prior written consent.

10.4 Limited Licence

Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for personal, non-commercial purposes. This licence does not include the right to reproduce, distribute, modify, publicly display, or create derivative works from any Website content.

11. Third-Party Links and Services

The Website may contain links to third-party websites, services, or resources. These links are provided for convenience only and do not imply endorsement, sponsorship, or affiliation. The Company has no control over and assumes no responsibility for the content, privacy practices, or availability of third-party websites. 18. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions or orders, cyber-attacks, internet outages, power failures, or other force majeure events.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

20. Waiver

The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if made in writing and signed by an authorised representative of the Company.

21. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and the Nasih Terms of Use (where applicable), constitute the entire agreement between you and IMPACTIVE Consulting with respect to your use of the Website. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and the Company regarding the Website.

22. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms without restriction.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Companies Law (Royal Decree M/132, 1443H/2022), the E-Commerce Law, the Anti-Cyber Crime Law, and the Personal Data Protection Law (PDPL).

24. Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts in the city of Riyadh, Kingdom of Saudi Arabia.

Prior to initiating any legal proceedings, the parties shall attempt in good faith to resolve any dispute through direct negotiation for a period of not less than thirty (30) calendar days from the date of written notice of the dispute.
